Terms and Conditions for Nature Spell Inc. Creator Championship
1. Campaign Period
- Duration: The Creator Championship ("Campaign") will commence at 00:00 GMT on October 18, 2024, and will conclude at 23:59 GMT on December 31, 2024 ("Campaign Period").
- Modification and Termination: Nature Spell Inc. ("Sponsor") reserves the right to modify, suspend, or terminate the Campaign at any time, including the extension of the Campaign Period, without prior notice, for any reason whatsoever, without liability to the Sponsor.
2. Eligibility
- General Eligibility: The Campaign is open to legal residents of jurisdictions where such contests are not prohibited by law, who are at least the age of majority in their place of residence at the time of entry.
- Exclusions: Employees of Sponsor, its affiliates, subsidiaries, advertising and promotion agencies, and their immediate family members (spouse, parents, siblings, and children) and household members of each such employee are not eligible to participate.
3. Participation and GMV Calculation
- Collaboration: Participants may form groups of up to four (4) individuals, combining their Gross Merchandise Volume ("GMV") to qualify for higher tiers. One handle can only form one participating group, the same handle/invidual cannot form multiple groups, results will only be valid for one group.
- GMV Definition: GMV is defined as the total sales revenue generated from the sales of Nature Spell products, excluding any shipping fees, sales tax, and revenue from returned goods.
- Adjustment for Shipping and Refunds: All reported GMV includes shipping and sales tax fees; however, these fees will be deducted in the final GMV calculation. GMV adjustments for refunds will also be made prior to the final calculation by the Sponsor.
4. Submission Requirements
- Submission Window: Eligible participants must submit their final GMV figures via email to community@naturespell.co.uk between January 1, 2025, and January 30, 2025.
- Required Information: Submissions must include the participant’s legal name, address, TikTok account handle, country of residence, and a copy of their passport or national identification card.
- Invalidation: Failure to submit all required information within the specified period will result in forfeiture of eligibility for any rewards.
5. Rewards
- Tier-Based Rewards: Rewards will be issued based on the tiered structure outlined in the Campaign materials, with specific rewards corresponding to specific levels of GMV.
- Reward Fulfilment: Cash rewards may be substituted for the specified gifts at the Sponsor’s sole discretion. Cash rewards will be disbursed in monthly instalments over 18 months following a six-month cooling-off period post-Campaign.
- Right of Final Decision: The Sponsor reserves the right to substitute or modify the rewards based on availability or other factors beyond its control. All decisions regarding rewards and eligibility will be made by the Sponsor and are final and binding. The amount of cash reward is as mentioned in the brochure and will not exceed the specified amount, even if the gifts may add up to a bit more than the cash alternative.
- Car leases or home leases will be put on the participates name, but payable by the Sponsor, for a period of 2 years only either any Car or Home prize, unless specified on reward tier that is it for 1 year only, the shorter period applies. All other fees associated with the lease will be done by the participant, included but not limited to maintenance and insurance and running costs, for all gifts. The sponsor will only upfront the initial payment and monthly payments for up to 24 months.
- The retainer packages are paid 45 days after to the creator, each retainer is worth up to $100 per video posted up to $1,000 per month max, thus for retainer to be activated, the participants have to post videos for the sponsor and tagging its products. Creator can decide to post 1 video or up to 10 videos and be paid the monthly retainer fee accordingly for the specified time.
- Participants can only claim rewards in the tier they have been put into from GMV perspective, they cannot claim gifts and rewards from lower or higher tier groups, only the rewards within that specified tier group. If cash alternative is taken, only the cash alternative amount per tier group will be paid, not to be paid anymore than that, or not to be able to combine cash alternative winnings from any lower or higher tier groups, just from their specified tier group.
- All models of all gifts are up to the discretion of the Sponsor, and not the participant, this includes all specification and colours, the participant will not have a say in the model and specification.
- The rewards are not subjective or up for variation, these are all set as per company policy.
6. Legal and Regulatory Compliance
- Compliance: The Campaign and its entrants shall comply with all applicable local, regional, national, and international laws and regulations.
- Limitations of Liability: The Sponsor disclaims all liability for any loss, expense, accident, delay, injury, death, or any other irregularity caused or contributed to by the participation in the Campaign or by any conditions beyond the control of the Sponsor affecting the Campaign or the awarding of prizes. Participants waive all rights to bring any lawsuit, or case against the sponsor.
7. Data Privacy
- Consent to Use Personal Data: By participating in the Campaign, entrants consent to the collection, use, and disclosure of their personal information by the Sponsor for the purposes of administering the Campaign and prize fulfilment.
- Privacy Policy: All personal information provided to the Sponsor will be handled in accordance with the Sponsor’s Privacy Policy, available on the Nature Spell website.
8. Disputes
- Governing Law: These terms and conditions are governed by the laws of England and Wales.
- Binding Arbitration: Any dispute arising from these terms or the Campaign that cannot be resolved amicably shall be submitted to confidential arbitration in London, England. The arbitration will be conducted under the rules then prevailing of the Chartered Institute of Arbitrators.
9. Miscellaneous
- Severability: If any provision of these terms is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these terms, which shall remain in full force and effect.
- No Waiver: Failure by the Sponsor to enforce any term of these terms shall not constitute a waiver of that provision.
